By accessing the Site or engaging our Services, you ("Client," "User," or "you") agree to be bound by these Terms.
1 Acceptance of Terms
By using the Site, submitting an inquiry, signing a proposal, or making a payment for Services, you confirm that you have read, understood, and agreed to these Terms, along with our Privacy Policy and Refund Policy.
2 Description of Services
TechBin Online provides digital marketing services including, but not limited to:
- On-Page, Off-Page, and Technical SEO
- Local SEO / Google Business Profile Optimization
- Keyword Research & SEO Audits
- Content Writing, Blog Writing, and Content Strategy
- AEO (Answer Engine Optimization) and GEO (Generative Engine Optimization)
- Web Design & Development (including WordPress and Shopify)
- Social Media Content and related digital marketing solutions
Exact scope, timelines, and deliverables for any engagement will be defined in a separate Proposal, Statement of Work (SOW), or Service Agreement, which forms part of these Terms.
3 Eligibility
You must be at least 18 years old and legally authorized to enter into a binding contract on behalf of yourself or the business you represent to use our Services.
4 Client Responsibilities
To enable effective service delivery, the Client agrees to:
- Provide timely, accurate access to website backend (CMS/hosting), Google Search Console, Google Analytics, Google Business Profile, and other required platforms.
- Provide accurate business information, content approvals, and feedback within agreed timelines.
- Make payments as per the agreed schedule.
- Not engage another agency/freelancer to perform conflicting SEO work on the same website during an active engagement without informing us, as this can affect results and reporting accuracy.
5 SEO & Marketing Results Disclaimer
The Client acknowledges and agrees that:
- SEO and digital marketing results depend on multiple factors outside our control, including search engine algorithm updates, market competition, and the Client's own website/content decisions.
- We do not guarantee specific rankings, traffic, leads, or revenue outcomes unless explicitly stated in a signed SOW.
- Reasonable timelines (e.g., 3–6 months for local SEO, 6–12 months for national/competitive SEO) are estimates, not guarantees.
6 Fees and Payment
- Service fees, billing cycles, and payment terms will be specified in the Proposal/Invoice issued to the Client.
- Payments must be made via agreed modes (bank transfer, UPI, or other specified methods) within the due dates mentioned on the invoice.
- Late payments may result in suspension of ongoing work until dues are cleared.
- All fees are exclusive of applicable taxes (GST, etc.) unless stated otherwise.
7 Intellectual Property Rights
- Site Content: All content, graphics, logos, and material on techbinonline.com are the property of TechBin Online and protected under applicable intellectual property laws. No content may be copied, reproduced, or distributed without written permission.
- Client Deliverables: Upon full and final payment, ownership of custom deliverables created specifically for the Client (e.g., website design, written content) transfers to the Client, unless otherwise agreed in writing. TechBin Online retains the right to showcase completed work in its portfolio, case studies, and marketing materials unless the Client requests confidentiality in writing.
- Tools & Methodology: Our proprietary processes, frameworks (including the R.A.N.K. Framework), templates, and internal tools remain the exclusive property of TechBin Online.
8 Confidentiality
Both parties agree to keep confidential any proprietary business, technical, or financial information shared during the engagement, except where disclosure is required by law.
9 Termination of Services
- Either party may terminate an ongoing engagement by providing written notice as per the notice period defined in the SOW/agreement (typically 30 days, unless otherwise specified).
- Fees paid for work already completed or in progress are non-refundable, subject to our Refund Policy.
- Upon termination, we will hand over completed deliverables and revoke our team's access to Client platforms within a reasonable period.
10 Limitation of Liability
To the maximum extent permitted by law, TechBin Online shall not be liable for any indirect, incidental, special, or consequential damages, including loss of profits, business, rankings, or data, arising out of or related to the use of our Site or Services. Our total liability for any claim shall not exceed the total fees paid by the Client for the specific Service in question during the preceding three (3) months.
11 Indemnification
You agree to indemnify and hold harmless TechBin Online, its employees, and affiliates from any claims, damages, or expenses arising from your breach of these Terms, misuse of the Site, or violation of any third-party rights (including content you provide us for publication).
12 Third-Party Tools & Platforms
Our Services may involve integration with third-party platforms (Google, Meta, SEMrush, Ahrefs, Moz, WordPress, Shopify, etc.). We are not responsible for outages, policy changes, or data issues arising from these third-party platforms.
13 Governing Law & Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the courts in Jaipur, Rajasthan, India.
14 Dispute Resolution
In the event of a dispute, both parties agree to first attempt an amicable resolution through good-faith negotiation. If unresolved within 30 days, either party may pursue resolution through arbitration or the appropriate courts in Jaipur, Rajasthan.
15 Modifications to Terms
We reserve the right to update or modify these Terms at any time. Continued use of the Site or Services after changes are posted constitutes acceptance of the revised Terms.
